1. ENTRY PERIOD: Celebrations Passport® Mariah Carey Christmas Concert Sweepstakes (hereinafter the “Sweepstakes”) begins at 12:01 AM EDT on 10/21/2024 and ends at 11:59 PM EST on 11/17/2024 (the “Entry Period”).

1.1. ELIGIBILITY: This Sweepstakes is open only to legal residents of the 50 United States, including the District of Columbia, who are 21 years of age or older as of date of entry. All federal, state, and local laws and regulations apply. Employees and families of 1-800-FLOWERS.COM, INC. (“Sponsor”), Live Nation Worldwide, Inc. (“Prize Provider” or “Live Nation”)) and its respective subsidiaries, divisions, affiliates and related companies, advertising and promotion agencies, and their immediate families are ineligible

2. HOW TO ENTER: You must be twenty-one (21) years of age or older as of the date of entry and completely fill out a Sweepstakes Entry form. LIMIT ONE ENTRY PERSON. As a Celebrations Passport® member you will receive an email inviting you enter the Sweepstakes by filling out an entry form. Entry forms are located on the 1-800-FLOWERS.COM® website page www.1800flowers.com/concert-series-sweepstakes. Limit one (1) entry per member.

2.1. ADDITIONAL ENTRY TERMS & CONDITIONS: Use of computer programs and/or other automated devices to enter the Promotion are prohibited. Normal Internet access and usage charges imposed by your on-line service will apply. By entering you understand that a) the Sponsor has the exclusive right to use your entry and excerpts of your entry in any advertising and promotional materials (visual, sound, print and/or electronic form), including posting entries or portions thereof on its website, Facebook page, advertising. etc.; b) you grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the entry, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity; and c) you hereby hold the Sponsor harmless from and against any third party claim arising from use of the entry and waive any right to inspect or approve uses of the entry or to be compensated for any such uses. All entries become the exclusive property of Sponsor, and may not be acknowledged or returned. Proof of submission will not be deemed to be proof of receipt by Sponsor.

3. SWEEPSTAKES PRIZES AND APPROXIMATE RETAIL VALUES (“ARV”): Two (2) Winners in Total. One (1) Grand Prize winner will receive a prize package for two (2) consisting of a) two (2) tickets to see the Mariah Carey Christmas Concert at the Barclay’s Center located at 620 Atlantic Avenue, Brooklyn, New York 11217 on December 17th, 2024, b) airfare for two, c) hotel accommodation for two (2) nights, and d) VIP Reception package. Complete Grand Prize detailed below. The Approximate Retail Value (“ARV”) of the Grand Prize is: Three Thousand Eight Hundred Forty Dollars and No Cents ($3,840.00), depending upon winner’s point of travel origin and airfare fluctuations at the time of taking the trip. Any difference between stated approximate retail value and actual value of prize will not be awarded.

One (1) Runner up winner will receive a $250 Savings Pass to 1-800-FLOWERS.COM® valid at 1-800-FLOWERS.COM and its family of brands for one year. Total ARV of the Runner-Up prize is $250 USD.

Total ARV of all prizes is $4090.00 USD

3.1. GRAND PRIZE DETAILS:

• Round-trip domestic economy air transportation for one (1) Grand Prize Winner and one (1) eligible guest from the major commercial airport nearest Winner’s residence (as determined by the Sponsor in its sole discretion) within the 48 contiguous states or the District of Columbia to destination airport on 12/16/24 and return date of 12/18/24 (travel dates determined by Sponsor/Prize Provider in its sole discretion);
• Two (2) nights of hotel accommodations in one (1) double occupancy, standard hotel room checking in on 12/16/24 and checking out 12/18/24;
• Two (2) reserved tickets to see Mariah Carey’s Christmas Time on December 17, 2024, at Barclays Center in Brooklyn, NY;
• VIP Reception Package for one (1) eligible winner and one (1) guest. - Invitation to a pre-show reception with light appetizers - Merchandise item designed and created exclusively for package purchasers - Collectible laminate to remember your evening - Photo opportunity in front of the Mariah Carey VIP Holiday Show backdrop* - Priority check-in and entrance  - On-site VIP host and concierge *Artist participation is not included.

a) “Exclusions” – travel to and from the airport, car rental, personal charges, incidentals, telephone calls, Premium Wi-Fi, and services, baggage fees, and travel insurance are not included.

b) If any prize or any portion of a prize is not redeemed, the prize will be forfeited. Selection of airline and hotel, and any seat and/or room assignments are at the discretion of Live Nation, airline and/or hotel personnel. All other expenses not specifically mentioned herein are solely the winner’s responsibility. Live Nation reserves the right to provide ground transportation in lieu of air transportation if the winner resides within two hundred (200) miles from concert venue. Ticket delivery method is at sole discretion of Live Nation which will be either sent to winner by mail, email, mobile ticketing or placed at venue Will Call the day of concert under the winner’s name. Winner must be present to pick up tickets and a valid photo ID will be required if tickets are placed at Will Call. Winner and guest must be at least twenty-one (21) years of age and must abide by all venue and event policies, to include but not limited to, showing a valid photo ID at venue for age verification and/or identification purposes if requested. Live Nation reserves the right to revoke full or partial prize from any winner or winner’s guest who it or venue personnel deem may, in its sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, or may bring Live Nation into disrepute. Winner will be required to provide a credit card to hotel to cover incidentals which are not included in prize package. Travel must take place on the day prior to the confirmed concert and return the day following the concert; no alternate travel dates are available. If winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and may be awarded to an alternate winner. All travel is subject to availability and restrictions. Winner and travel guest must travel on same itinerary A minor may accompany winner as a travel guest only if the winner is the minor’s parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor’s parent or legal guardian. Winner and travel guest must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. government issued passport, or a valid state-issued driver’s license or Real ID-compliant license or ID, as applicable) required for travel. Winner and guest must comply with all hotel, airline, CDC regulations, and local government laws, rules and requirements. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. Live Nation is not responsible for changes in schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delay. Live Nation is not responsible and will have no liability if winner and/or guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Any unclaimed and/or unused prize element will remain the property of Live Nation. Resale of tickets is prohibited. By claiming event tickets, you agree to Live Nation’s Terms of Use, and to abide by the health and safety measures in effect at the time of the event. Should the event be cancelled, you will be notified as soon as reasonably possible.

c) Any federal, state and/or local taxes applicable to a Prize will be the prize winner’s responsibility to pay. The Grand Prize winner will receive an IRS Form 1099 (for the amount of the actual cost of the Prize) from Live Nation.

d) CLASS ACTION WAIVER: ACCEPTANCE OF THE PRIZE PROVIDES FOR THE EXCLUSIVE RESOLUTION OF DISPUTES THROUGH INDIVIDUAL LEGAL ACTION AND SUPERSEDES ANY LAW ENTITLING WINER AND GUEST TO PARTICIPATE IN A CLASS ACTION. THIS CLASS ACTION WAIVER PRECLUDES WINNER AND GUEST FROM PARTICIPATING IN OR BEING REPRESENTED IN ANY CLASS OR REPRESENTATIVE ACTION REGARDING ANY CLAIM BROUGHT AS A RESULT OF THIS SWEEPSTAKES. EVEN IF APPLICABLE LAW PROVIDES OTHERWISE, WINNER AND GUEST AGREE THAT ANY ARBITRATION OR LAWSUIT AGAINST SPONSOR OR PRIZE SUPPLIER WHATSOEVER SHALL BE LITIGATED BY WINNER OR GUEST INDIVIDUALLY AND NOT AS A MEMBER OF ANY CLASS OR AS PART OF A CLASS ACTION, AND WINNER AND GUEST EXPRESSLY AGREE TO WAIVE AUTHORITY TO ARBITRATE CLAIMS ON A CLASS ACTION BASIS. THE WINNER AND GUEST FURTHER AGREE AND ACKNOWLEDGE THAT THE CLASS ACTION WAIVER IS MATERIAL AND ESSENTIAL TO THE ACCEPTANCE OF THE PRIZE AND IS NON-SEVERABLE. THE VALIDITY AND EFFECT OF THIS CLASS ACTION WAIVER MAY BE DETERMINED ONLY BY A JUDGE OR COURT OF LAW. WINNER AND GUEST AGREE THAT THIS SECTION SHALL NOT BE SEVERABLE UNDER ANY CIRCUMSTANCES FROM THE FORUM SELECTION AND CHOICE OF LAW PROVISION SET FORTH BELOW.

e) Travel Safety Warning: All guests are responsible for checking the travel and entry protocols for the destination that they are travelling to before they depart and ensuring that they fully understand and comply with any such protocols. For example, for some destinations, may require guests to be fully vaccinated and/or to obtain a negative PCR Covid-19 test a certain number of days pre and post travel. The prize winner is advised to visit the travel.gov website before travel and to check the official Government website. Sponsor and Prize Provider shall not be responsible for any additional costs incurred for any required test or any other pre-travel requirements.

f) Use of Personal Data/Personal Information: Entry into the Sweepstakes constitutes the participants’ representation of eligibility, consent to participate and consent for the Sponsor to obtain, use and transfer your name, mailing address, email address and other information obtained through the entry for the purpose of the Sweepstakes administration and Prize redemption. The Sponsor’s Privacy Policy is available here https://www.1800flowers.com/About-Us-Privacy-Policy. All participants who “opt-in” to receive future communications from regarding marketing promotions, special savings and event notifications will have the ability at any time to opt out of receiving any future marking promotions or events.

g) All prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Any difference between stated ARV and actual value of prize will not be awarded. No refund or compensation will be made in the event of the cancellation or delay of any flight. Failure to complete the trip prize does not relieve the applicable Winner of his or her tax obligations associated with winning the prize. No extensions will be permitted, and any unused travel or portion of the prize will be forfeited and no compensation awarded in lieu thereof. If a prize Winner does not accept or use a portion of the prize, the unaccepted or unused portion of the prize will be forfeited and Sponsor and Prize Provider will have no further obligations with respect to that portion of prize. The ARV of the prize(s) is based on available information provided to Sponsor and the value of any prize awarded to a Winner may be reported for tax purposes as required by law. The winner may be required to provide Sponsor with a valid social security number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of Winner for the actual value of the prize(s) received.

4. RELEASE: By entering, participants agree to release, indemnify, defend and hold harmless Sponsor, Prize Provider, and each of their respective suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parents, subsidiaries and affiliates, and each such party's officers, directors, employees and agents (collectively, the “Released Parties”) from and against any losses, damages, rights, claim or cause of action of any kind, in whole or in part, directly or indirectly arising out of participation in the Sweepstakes or resulting directly or indirectly from acceptance, possession, receipt, use or misuse of any prize, including, without limitation, personal injury, death and/or property damage, as well as claims based on publicity rights, defamation and/or invasion of privacy.

5. WINNER SELECTION: Winner will be selected in a random drawing on or about 11/18/2024 from among all eligible entries received during the Entry Period. Drawing will be conducted by a representative of Sponsor, whose decisions are final on all matters relating to this Sweepstakes. Odds of winning are dependent upon the number of eligible entries received. Prize will be awarded and potential winners will be notified by e-mail. Prizes are nontransferable, assignable and no cash substitution is allowed except by the Sponsor, who reserves the right to award prizes of equal or greater value if advertised prizes are unavailable.

6. GENERAL RULES: Prize winner will be required to execute and return an affidavit of eligibility and liability/publicity release (where legal) within 48 hours of notification attempt or prize will be forfeited and an alternate winner selected. Return of any prize or prize notification as undeliverable may result in disqualification and alternate selection. Acceptance of prize constitutes permission to use winner’s name, likeness, image, photo, sobriquet and biographical information for promotional purposes without further compensation except where prohibited by law. By entering, entrant accepts and agrees to be bound by these OFFICIAL RULES and winners release Sponsor, Prize Provider and their respective subsidiaries, affiliates, directors, officers, employees, agents and all others associated with the development and execution of the Sweepstakes from any and all liability for damages, losses or injury resulting from participation in the Sweepstakes or acceptance or use of prize. Entries will be declared to be made by the authorized account. “Authorized account holder” is defined as the natural person who is assigned to the email address account associated with the submitted entry. Entries are subject to verification of eligibility and will be declared invalid if they are incomplete, falsified, altered or tampered with in any way. Sponsor reserves the right in its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website; violates the OFFICIAL RULES; or acts in an unsportsmanlike, obscene or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor and its agencies are not responsible for lost, late, incomplete, misdirected or damaged entries due to internet services providers service, weather, technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications, whether caused by the sender, by any of the equipment or programming associated with or utilized in this Sweepstakes which may limit the ability to participate, or by any human error which may occur in the processing of the entries in this Sweepstakes. Sponsor reserves the right to cancel, terminate or modify the Sweepstakes if it is not capable of completion as planned, including for infection by computer virus, bugs, tampering, unauthorized intervention or technical failures or corruption of any sort, and award prizes from eligible entries received prior to cancellation. Void where prohibited or restricted by law.

8. SPONSOR & PRIZE PROVIDER: The Sponsor of this Sweepstakes is 1-800-FLOWERS.COM, INC., Two Jericho Plaza, Suite 200, Jericho, NY 11753. The Prize Provider is Live Nation.

9. LIMITATION OF LIABILITY: NEITHER 1-800-FLOWERS.COM, INC., LIVE NATION. NOR THEIR RESPECTIVE AGENTS, EMPLOYEES, PARENTS, SUBSIDIARIES, OR AFFILIATED COMPANIES, AS WELL AS, THEIR ADVERTISING AND PROMOTION AGENCIES SHALL HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOSS OF OPPORTUNITY OR GOODWILL. IN ALL EVENTS, THE SOLE MAXIMUM LIABILITY OF SPONSOR AND ITS AFFILIATES SHALL BE LIMITED TO THE ARV OF THE PRIZES SET FORTH HEREIN.

10. GOVERNING LAW & VENUE: THE NEW YORK COURTS (STATE & FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SAME. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND HEREBY IRREVOCABLY SUBMITS TO THE VENUE OF THOSE COURTS WITHIN THE COUNTIES OF NASSAU AND SUFFOLK COUNTY, NEW YORK.
